Overall, the position of Senior Corporate Counsel is expected to partner with the organization to support at a high level of legal expertise intercompany and intra-company transactions/ licenses involving commercial, marketing, promotional and e-commerce relationships and intellectual property matters in support of the PlayStation platform for Sony Computer Entertainment America LLC.
Responsibilities:
- Contracts and all general transactional terms related to contracts
- Licensing of intellectual property (patents, copyrights, trademarks, trade secrets)
- Knowledge of interactive software industry and an interest in video games
- Experience in some facet of entertainment law; ideally video games, but music, movies, promotions, or television will be considered
- Experience drafting and negotiating distribution, vendor and marketing/promotions agreements, as well as software development agreements, licenses in and out, business transactions with performance obligations, non-disclosure agreements, tool loans, tool and software creation for use by client groups and company licensees
- Experience drafting large template agreements for technology licenses as well as specific co-marketing and promotional agreements
- Experience working with international counterparts/business partners in Europe and Japan
- Experience drafting and negotiating multiple contracts in fast paced environment
- Must have excellent interpersonal and communication skills
- Must have excellent negotiating skills
- Must be detail oriented and have excellent English language/drafting skills
- Strong technological affinity and experience or expertise in software and hardware fields
- Must enjoy working with and supporting other lawyers to brainstorm and collaborate on theories and approaches to drafting agreements to achieve effective yet concise and timely work product
- Exceptional interpersonal, project management and communication skills: must have high comfort level asking clear, concise, precise questions often involving complex technological matters to get requisite answers from businesspeople and Legal Department colleagues
- Excellent legal process knowledge, attention to detail, particularly in drafting agreements, timely follow-up and strong organizational skills
- Strategic approach to solving drafting issues and ability to propose concise, effective language to capture and address business issues
- Either an existing clear understanding of, or demonstrated aptitude to grasp quickly, a company's business and legal needs and internal and external client drivers
- Ability to work independently while staying within company guidelines and policies
Required Experience / Education:
- Must have a law degree from an accredited law school
- Must be a current member in good standing of the California State Bar
- At least 8 years of experience drafting commercial agreements for an entertainment, technical/software client or company, or other entertainment or transaction contracts with direct responsibility to corporate clients
Preferred Experience / Education:
- At least 10 years experience drafting commercial agreements for an entertainment, technical/software client or company, or other entertainment or transaction contracts with direct responsibility to corporate clients
