Corporate Legal
- Providing commercial legal advice as required within the Investment Bank (IB), including cross business or new business initiatives which fall outside the scope of transaction specialists. Providing back up legal support to Junior Corporate Lawyer as required.
- Providing regulatory advice – legal aspects of licensing and UBS's regulatory requirements (including APRA, ASIC and member exchanges)
- Project specific work – including legal advice on cross border regulatory issues and provision of advice within IB regulatory framework and proposed regulatory initiatives
- Legal aspects of operational risk – assist Head of Legal, Regional GC and Responsible Executives to complete UBS's program of operational risk certifications (entity and functional)
- Support legacy vehicles, providing transactional and corporate governance support
- Supervise corporate legal involvement in cross business LC procedures (eg PI Insurance, FSG's, PDS, outsourcing, political donations, statutory legal filings, standard form agreements, Terms and Conditions of Business, client data tables)
Policy
- Act as central contact point for dissemination and collation of policies within Aust IB Legal
- If required and to the extent not covered by any global policy, develop any local policy or procedure required
Company secretarial/corporate governance
- Role acts as company secretary – as a maternity cover – support Head of Legal as company secretary in managing directors board meetings for IB regulated entities (supervising corporate administrator), company books and records for all IB entities and issues relating to corporate authority
- Work with FCD, Treasury, Tax and COO as required in relation to corporate governance matters.
Corporate Leasing
- Manage UBS's legal agreements relating to its 7 premises around ANZ
Requirements
- Working knowledge of Corporations Act – licensing (Chapter 6 and 7, company provisions (Chapter 2), Banking Act, Australian consumer legislation, Privacy Act and general corporate/commercial law.
- 10 years legal experience, 5 years of this within corporate legal.
- The role requires a motivated individual that is able to identify and analyse issues, and resolve them in a timely manner. The ability to work in an organised and disciplined manner is a key requirement of the job.
- An ability to work closely with the business and develop a thorough understanding of its capabilities and requirements.
- Team player and resilient under pressure.
