Senior Corporate/ Legal Officer

Luxembourg Investment Solutions S.A. is a truly independent management company providing full management company services to Luxembourg-domiciled funds with a main focus on alternative investment structures. Because of our ongoing growth we are looking for an experienced Corporate Officer for our alternative fund structures in particular our Real Estate Private Equity Funds. In this position you are responsible for a large range of services such as domiciliation, corporate secretariat, accounting services.

Your main responsibilities

 

Ø      Organization of Board Meetings

Ø      Organization of AGMs and EGMs

Ø      Prepare AGM and EGM packs (notice to shareholders, proxy forms)

Ø      Drafting board minutes and board resolutions

Ø      Preparing contracts and agreements

Ø      Submit documents to local regulators

Ø      Registration of corporate documentation with the commercial register

Ø      Ensure notices are published in relevant newspapers

Ø      Prospectuses cross-border registration

Ø      Preparing check lists for processes

Ø      Performing accurate process documentation

Ø      Filing with the relevant authorities the required registration documents

Ø      Liaising with external legal and tax advisors

Ø      Supporting of preparation of  Annual and Semi-annual reports

Ø      Run statistical reporting

Ø      Coordination of internal and external service providers

Ø      Keeping abreast of changes in company law and corporate governance

Ø      Participation in a high number of projects inherent to the management company, the life cycle of the funds, compliance, operations, etc.

 

 

 

 

Your Profile

 

Ø       Fluent written and spoken in German (mandatory)and English (additional European languages would be an advantage)

Ø       Bachelor / University Degree or equivalent in Accounting / Finance, Economics or in Law

Ø       Excellent handling of MS Office applications in particular Excel

Ø       2- 5 years experience in the Fund Industry in Luxembourg

Ø       Detailed knowledge of corporate secretary

Ø       Detailed knowledge of Luxembourg corporate law

Ø       Analytical, problem solving, business analysis skills

Ø       Excellent Communication Skills

Ø       Demonstrable knowledge of compliance

Ø       Good interpersonal skills

Ø       Must be highly organized and detail / efficiency orientated

Ø       Must have initiative to constantly improve processes

Ø       Ability to prioritize issues at a company level

Ø       Good understanding of operational controls framework
