Senior Counsel

Description:

* General Legal Support

Senior Counsel will be responsible for general legal support for the firm's operations, including attention to confidentiality and non disclosure agreements, leases, contracts for services, and working with the HR team on personnel and employment matters, etc.

* Secretarial Functions

Senior Counsel will assist with the establishment and maintenance of the current valid existence of all Fund entities, all corporate entities, and all other entities established by the firm.  In addition, when requested, Senior Counsel will be responsible for all meeting minutes.

* General Counsel Support

The Senior Counsel will provide support to the General Counsel as requested, including with respect to due diligence prior to investments, negotiation and documentation of investments, portfolio company matters and operations, investment dispositions, communication and coordination with outside counsel.

Requirements:

* At a minimum a degree in a legal discipline. A post-graduate degree in a legal or finance discipline is preferred, as would be an Accounting degree / CPA, but is not required.

* High aptitude and analytical ability, with a strong emphasis on accuracy

* Have the ability to influence critical decisions using both formal and informal authority in the face of controversy

* Have experience in providing legal advice across an organisation with highly-driven, senior and junior executives

* A high level of professionalism, ethics, confidence, and a commitment to a team approach.  Ability to interact with others in a manner that instils similar values.

 * A strong sense of urgency, intelligent, analytical, creative and innovative, with an ability to find solutions to problems.

 * Be self-assured, self-sufficient, self-starting, detail-oriented, willing to work hard, be forceful and participative in a communicative role;

 * A mature personality with good common sense and judgment who can work effectively in a team-based, results-oriented environment.

* An effective communicator (oral and written) with effective interpersonal skills that instil confidence and cooperation among other personnel.

It is expected that the successful candidate will have developed a depth of experience, skills and capability to be considered a candidate to succeed to General Counsel in due course.  In addition, the successful candidate will have exposure to portfolio company Boards of Directors, and participating in Fund raising plans.
