Title: SG Hambros Senior Legal Advisor (Maternity Cover)
Purpose of Role:
Principal objectives:
- To ensure legal certainty of SGPB Hambros’ operations and inculcate best practice as regards corporate governance with ensure a robust control framework across the “SGPBH Group” (SG Hambros Bank Limited has subsidiaries (banks, wealth management and trust companies) in the UK, Channel Islands, Gibraltar and Canada);
- To proactively identify and manage legal risks and opportunities, including prevention and monitoring of litigation, relevant to the SGPB Group; and
- To effectively manage external legal resources and exposure.
Key Responsibilities:
Investment funds distribution
Responsible for
- Managing the Société Générale private banking fund distribution project, including (i) negotiating fund master distribution agreements with various fund providers, and (ii) negotiating fund sub-distribution agreements with other Société Générale group companies around the world
- Advising and liaising with the relevant business lines within the SGPBH Group in matters relating to fund distribution
General
Responsible for
- Supporting the business activities across the SGPBH Group;
- Ensure compliance with the SG Legal Handbook such that SGH Legal policies and procedures reflect SG Policy and directives, best practice and current law and are applied consistently across the SGPBH Group to enable each entity to comply with all relevant legal and regulatory requirements in each jurisdiction;
- Assist the Group Head of Legal to ensure that the SG Hambros Bank Board’s Audit Committee and SG Group Legal are updated on all significant legal matters including litigation;
- Manage and/or monitor various issues/investigations (including client complaints, employee actions etc) within the Group;
- Assist in the coordination of the central management of all corporate secretarial activity;
- Management, as required, of relevant legal projects;
- Reporting to SGPBH Group Head of Legal Group in order to assist in the coordination and legal reporting and company secretarial control and litigation issues at SG Group level;
- Develop and strengthen relationships with SGPBH Group business lines to promote best practice and ensure a good understanding of SGPBH Group legal requirements in order to manage and minimise risk;
- Ensure the SGPBH Group is regularly appraised of material legal and regulatory changes;
- Develop and deliver appropriate internal training programmes;
- Develop and build relationships with external legal suppliers to ensure an appropriate, efficient and cost-effective provision of external legal support to the SGPBH Group.
Qualifications and Experience Required:
Essential
- Graduate solicitor or barrister, or equivalent non-UK qualified lawyer with Qualified Lawyers Transfer Test
- Experienced Lawyer of at least 5 years PQE
- Experience with a significant (eg City) law firm or non-UK equivalent
- Solid background in investment funds
Preferred
- 2.1 honours or better degree
- Strong technical legal and regulatory knowledge of investment funds, private banking, asset management and wealth management
- Exposure to litigation and derivatives
- French language capabilities
