Senior Legal Assistant
The Los Angeles office of SunAmerica Financial Group (SAFG) is looking for an experienced Legal Assistant to provide a wide range of administrative and corporate governance support to the Office of the Corporate Secretary.
In this position you will:
- Assist in formation and dissolution of legal entities and filing of foreign qualifications and withdrawals for legal entities;
- Draft form resolutions (appointments of officers, payments of dividends, etc.), incumbency certificates, and secretary's certificates, and circulate the same for execution;
- File required annual reports to secretary of state's offices and franchise tax reports to revenue agencies, if applicable, in various jurisdictions;
- Input corporate database with information regarding structure, management and status of subsidiaries and related entities;
- Manage minute books, corporate seals, legal files and other corporate information;
- Assist with arranging board and committee meetings, gathering reports and assembling board and committee meeting packages;
- Monitor written consents and/or documents circulated for signature and maintain log as to status of each written consent and/or document;
- Fulfill requests for corporate information, including copies of minutes, consents and other corporate documents;
- Provide administrative assistance to attorneys and other legal professionals in the Legal Department as requested; and
- Serve as back-up, when needed, to Executive Assistant to Senior Vice President and General Counsel.
The ideal candidate will have:
- At least 2 years of corporate experience in providing support on general corporate governance and corporate secretary matters;
- Knowledge of legal entity formation and maintenance and generation of form board of directors/committee resolutions;
- Knowledge and experience with legal entity management software programs (e.g., Secretariat) preferred;
- Excellent project management skills with a strong commitment to details and follow-up;
- Effective communication (verbal and written), organizational and inter-personal skills;
- Adept at multi-tasking and ability to work under tight (and, at times, competing) deadlines;
- Ability to work on various projects at the same time;
- Ability to work under a team environment and provide team support;
- Proficient in Microsoft Office programs (including Word, Outlook, PowerPoint and Excel); and
- Bachelor's Degree, preferred; AA, if experience meets job requirements; Paralegal certificate (or in the process of obtaining paralegal certificate), preferred.
