Senior Legal Counsel
Reporting to the Head of Legal, the Senior Legal Counsel shall undertake such specific duties not being inconsistent with the position of Senior Legal Counsel and in the discharge of such duties shall observe and comply with all resolutions, regulations and directions from time to time made or given by the Bank. He is responsible for discharging all functions associated or ancillary to the role of Senior Legal Counsel, particularly including the following principal activities:
Manage and coordinate all legal activities in relation to the Company
Maintain adequate and up-to-date procedures and records in relation to the Legal Department activities;
Manage the Legal Department’s staff members. Train staff members and participate to the recruitment process of new staff and interns within the Legal Department
Act as main point of contact within the Legal Department for other Desks, internal and external parties.
Liaise with the Parent/Holding Company Legal Department and coordinate transmission of data and information to the Parent/Holding Company’s Legal Department in accordance with the Group’s instructions (notice to convene meetings of Corporate Bodies, minutes of meetings held by the Shareholders, updates of Board composition, etc);
Liaise with external legal advisors and act as main point of contact for them;
Prepare and update of the Company’s legal agreements; Management of litigations in coordination with possibly retained external lawyers’ offices;
Management of relationships with regulatory and judicial authorities;
Drafting and negotiating transactional documentation
Providing legal advice to the Company’s management and Board of Directors;
Preparation and/or review of the information and statements to be sent to subscribers;
Upon request, and upon completion of all required Companies Office notifications, company secretarial activities.
Requirements:
Minimum 3 years post-qualification experience in the banking industry with a reputable financial services legal practice or as in-house lawyer;
strong technical ability, with excellent organizational skills;
Sound knowledge of Italian banking and finance law and principles and solid experience of Italian market practice
Fluent in English;
analytic skills, problem solving ability and strong attention to detail
