Senior Legal Counsel recruitment
Key Responsibilities
- Corporate Structuring / Strategic Planning - Review with Finance, Tax and Planning, and provide legal advice on the Group corporate structure for efficient planning to achieve The Group’s objectives
- Financing Solutions - Look after all legal aspects of The Group Financing needs, this includes Structured Financing, Trade Finance, Loan Syndication and Project Finance
- Legal Risk Management, Business Risk and Trading Risk Management / Risk Mitigation - Work with relevant departments e.g. Risk Management, Finance, Tax etc to provide legal protection and risk management advice to senior management team
- Mergers Acquisitions - MA and disposals legal work, from due diligence to closure of transaction
- Capital Markets Project - Tap capital markets for corporate needs and act as legal lead in project team
- Legal Policy oversight and development - Review and advise senior management on legal implications of internal policies and procedures
- Conduct of Arbitration and Litigation management - Strategize and manage contentious/litigious matters with external counsel and Group management team
- Sustainability Issues NGO action - Work with Sustainability Management team, monitor sustainability issues NGO actions for legal risk and reputational risk impact
- Major Infrastructure Contract Negotiation - Drafting, review and negotiation of major infrastructure projects e.g. capex expansion projects
- Board Administration Matters - Company secretary for Group Management Board – Convening, organizing and recording of Board meetings, with follow-up actions required by Board
- Anti-trust / anti-monopoly Compliance Monitoring - Continuously monitor compliance with anti-trust / anti-monopoly statutory obligations and advise management accordingly
Candidate Profile
- A law graduate, called to the bar with at least 12 to 15 years of experience
- Combination of practice and corporate experience, exposure gained at a partnership level as an external counsel to MA functions, and exposure to financing transactions would be added bonus
- Exposed to regional work and diverse business operations
- Strong leadership skills, mature, high energy, able to relate with senior management and provide legal advice
- Hands-on with attention to details
- Fluent in English and one Asian language
