SENIOR LEGAL COUNSEL

Location:Singapore

Report to: Director of Legal Affairs and General Counsels of the Business Groups

Our client is a listed multinational material sciences-based and life sciences company that is expanding.

The successful candidate will be providing legal support to the various business groups based in the several regions of the company as well as being functionally responsible for the company’s legal counsels based in other countries in the region, such as China, India, etc.

Job Responsibilities:

Provide legal support for commercial activities and also advising other business units, such as HR and financial matters

Ensure compliance with local legislation and Corporate and Business internal policies (including trainings and audits)

Provide support in MA and other strategic projects where required (this also includes the China India region)

Develop standard set of legal documents by adjusting the agreements provided by the Corporate and Business headquarters in Europe

Develop local agreements in line with policies

Adapt Corporate and Business Units' polices to the requirements of the region

Prepare all corporate documents of the company in the Asia Pacific region, including the drafting/review of bylaws, shareholder agreements, minutes of board of directors meetings, filing of corporate records, advising on sale and purchase of shares

Handle administrative and court proceedings

Outsource and supervise external counsel (where direct support is not possible)

Conduct training sessions for and with the business on legal matters and compliance topics

Provide support in tax and social security planning

Also ensure that all of the responsibilities are offered to the other company’s entities in the region

 Act as lead counsel for one of the company’s business group

Oversee the support given by other counsel based in other regions (e.g. India, China)

Key Requirements:

Minimum 8 years as in-house legal counsel

Strong MA experience

Legal business achievements in an international/Asian environment

Personal and legal background from a South-East Asian country

Open-minded personality with a very good business acumen

Strong personality able to ensure legal compliance/ providing legal support/manage external counsels in the entire region
