Senior Transaction Manager recruitment
Seeking a new position within Corporate Trust? We have a fantastic new opportunity available for a Senior Transaction Manager at BNP Paribas Securities Services.
This key position within the Corporate Trust Services (CTS) transaction management team is responsible for managing documentation of new transactions and resolving post-close issues and restructuring matters. Supporting the Heads of Transaction Management and Restructuring, you will provide advice and supervise/train less experienced team members.
You will have proven experience as a lawyer in a trustee, securitisation or debt capital markets practice area working on structured deals with demonstrable exposure to, and sound knowledge of the Trustee role and Trustee issues.
Key responsibilities will include:
• Management of the review, negotiation and execution of transaction documentation including drafting documentation depending on the nature of the transaction (e.g. securitisations and other complex capital markets transactions, escrow and asset protection structures, loan administration)
• Liaison internally (e.g. with Coverage, Luxembourg CTS teams) and externally with Arrangers, Originators, Issuers, other deal parties and their counsel to facilitate documentation review, negotiation and deal closing
• Ensuring that legal and commercial terms of transaction documentation reflect the deal requirements, the basis on which fees were quoted and the required language and standards of TrustCo and CTS and that all relevant approvals have been given
• Ensuring that all Issuer covenants and any Trustee obligations and responsibilities contained in documentation to which TrustCo is party are identified and validated
• Provide support and pre-mandate and other advice (pricing deals, product validation) to the CTS teams and management as required e.g. Coverage, Collateral Administration, Product
• Attend conferences and industry functions as a senior representative of UK CTS
The successful applicant will have extensive corporate trust transaction management experience within a corporate trust services provider or in debt capital markets, securitisation or legal department in an investment bank or other financial institution.
