Job Title: Senior Stock Plan Specialist and Corporate-Securities

ParalegalHarman International is looking for a Corporate - Securities Paralegal/Stock Plan Administrator on a full-time basis. This position will be responsible for administering the company's equity compensation program and preparing all Section 16 filings.

 

Essential Responsibilities:

• Maintaining and performing Section 16 filings with supervision.
• Preparing and filing Forms 3, 4 and 5.
• Maintaining records of SEC filings and assisting with making NYSE filings.
• Assisting with Insider Trading compliance, including preparation of periodic notices of trading periods and tracking of insider trading lists.
• Administering the company's stock and option plan, including processing and maintaining accurate information regarding awards, exercises, forfeitures, vesting and distributions in the company's stock plan administration system.
• Supports Human Resources with all stock related inquires and provides guidance as needed.
• Reconciling cash and shares related to stock plan transactions on a monthly, quarterly and annual basis.
• Managing relationship with transfer agent, corporate brokers and stock plan administration tool vendor.
• Liaising with finance, tax, payroll, treasury, human resources, investor relations and other departments as needed.
• Assisting with general board matters.
• Maintaining subsidiary database.
• Assisting with preparation of resolutions, minutes and board materials.

Basic Qualifications:

• A minimum of five years legal or equivalent experience as a corporate - securities paralegal/stock plan administrator at a law firm or corporate legal department.
• Strong working knowledge of Stock Options, RSUs and PSUs
• Proficiency with Microsoft Office
• Highly developed organizational, writing and communication skills.
• Ability to interact effectively with all levels of personnel, including management staff and support staff.
• Ability to be a proactive self-starter.
• Must pay attention to details and have the ability to follow up and follow through.
