Structured Finance Associate
These mid to senior (AVP to VP) hires will take on front to back management of some of the largest deals in Asia Pac.
You will likely come from; Project finance or Structured Finance Originations – Credit Risk/Analysis – Technical Operations (middle office) – Legal and Finance backgrounds
Your transactional background and credible client facing ability will be pivotal to your success.
On the whole portfolio, you will be responsible for monitoriong on a regular basis the risks of the commitments subscribed to by the Bank including the following:
- Analyse on a regular basis information and financial covenants in order to up-date risk assessment
- Stay informed of relevant political, economical and regulatory conditions that could impact risks, and reverts to financial modeling if necessary
- Propose a course of action to Front-office and risk departments, formalized through a credit memo, with regard to up-grading or down-grading the rating of a deal, consent to or refuse any waiver, amendment or restructuring, include under watch-list or provision, adopt an exit strategy or any other appropriate solution
- Perform semi-annual (construction phase) and annual (operation phase) credit reviews and updates rating using risk assessment tools
- Perform quarterly watch-list and provision reviews in compliance with credit procedures
On some deals, you will assume the role of Agent on behalf of the Banking pool :
Responsibilities pre closing will include:
- Cooperate with origination team with regard to relevance and applicability of documentation define Agency role, draft the proposal of Agency letter and Liaise with Back-Office to ensure feasibility of any specific Back-office duties resulting from agent role (eg centralization and dispatching of cash-flows)
Post closing :
- Ensure that the covenants (financial and informative) are duly respected by the borrowers and ensures timely transmission of these to bank syndicates.
- Instruct as per the documentation any borrower requests : waivers, amendments, restructurings, prepayments, others
- Act as intermediary and facilitator for any matters relating to the relationship between borrowers and bank syndicates
What we are looking for:
- 6-10 years of relevant experience
- Asia experience is idea but Chinese language is not a pre requisite
- An interest in and understanding of Energy Natural Resources
- Very good ability to understand and draft complex legal documentation and challenge lawyers proposals
- Extreme rigor in the performance of the Bank’s duties as Facility agent, to protect the firm of any accusation of negligence or wishful misconduct and develop the commercial relationship with borrowers and banks
- Developed commercial sense and communication skills
- Excellent understanding of risk
- Capacity to anticipate adverse trends and challenge information provided
