Subsidiary Governance Paralegal/Corporate Secretary recruitment
Key duties are as follows:
- Supporting corporate governance framework for US subsidiaries
- Acting as Corporate Secretary or Assistant Corporate Secretary, and assisting in coordinating corporate secretarial activities, for regulated and unregulated US subsidiaries
- Planning and preparation of materials for Board and Committee meetings, preparation and drafting of resolutions and minutes, and maintenance of corporate minute books
- Assisting with preparation of corporate and other regulatory filings
- Preparing documentation for indemnity for directors and officers
- Providing assistance and guidance, responding to inquiries and sourcing solutions to issues on Board protocols, Board and committee meetings, directorships, minute taking, preparation of documentation and other matters pertaining to board activities and corporate governance generally, particularly as it relates to US policy and procedure.
The ideal candidate will have 7-10 years experience in the abovementioned fields, preferably from a leading financial institution or law firm. They will be a highly organized team player, with excellent communication skills and BA or BS degree or equivalent.
