Business Description

The Transfer Agency (TA) division is responsible for providing the services and administration outlined in Client Service Level Agreements, within agreed parameters and applicable regulations and corporate policy. The main functions administered are to effect the dealing instructions on behalf of investors for the products outsourced by our management companies, to ensure an accurate register, and provide all necessary oversight and control services associated with these products.

The departments within TA include: Treasury (Reconciliations Settlements); Distributions; Statements and Mailings; Business Change; Communications Centre; Servicing; Business Oversight and Controls; Register Servicing, Broker Administration; Service Delivery; Dealing and Box Management; Management Accounts; Middle Office; DC Pensions; Client Service Centre and Document Management Centre.

Team Description

Business Oversight and Controls comprises four distinct areas

Client Reporting, Governance and Management Information
AML and Financial Crime
Business Continuity
Internal Control

The team support the TA division by ensuring the continued oversight of all areas of the business supported by a control environment that operates alongside other areas such as Compliance, Internal Audit and Business Operational Risk (corporate level). This framework ensures the business line can demonstrate an appropriate level of governance and control to our clients, related third parties for example auditors, regulators and to other areas of BNY Mellon.

Within the team there is also Compliance project resource who provide project support on a range of business projects to ensure all compliance and risk matters are addressed.

The team have presence in Brentwood Edinburgh whilst Pune operate under the same working practices and policies and are overseen remotely or by regular site visits.

This role resides within the Internal Control Team which undertakes the following activities: Event Management, Losses, Business Action Tracking (BAT), Data Protection, Information Risk, Training and Competence (TC), RCSA Co-ordination, Regulatory Breach Oversight and Audit Liaison.

The Event Management Team is responsible for the identification of risk and control failures and appropriate remedial action and management of the implementation of enhanced systems and controls where necessary, in conjunction with management. They also ensure that all actual and potential financial losses/gains within scope, are highlighted, tracked and the appropriate action taken to minimize financial exposure to the business.

The Business Action Tracking TC Team ensure all Audit, Compliance, ECM, Event and RCSA actions are highlighted, tracked and the appropriate action taken to minimise risk to the business, whilst ensuring deadlines are met. They are also responsible for the oversight and administration of the TC Scheme within UKTA.

The Data Protection Co-ordinator is rresponsible for assessing TA Data Protection and Information Security controls and ensuring that TA is proactively addressing risk in line with the FSA focus on firms Data Protection strategies from an operational perspective.

The Breach Oversight Administration team are responsible for undertaking quality assurance on breaches that have been reported by Operations to ensure that they are of high quality as required by the Management Companies. As part of the monitoring of these cases, it is necessary to ensure the breaches are recorded to enable the necessary corrective action to be complete, ensure that the any associated impact on profit and losses has been captured, and raise any additional controls in relation to losses via preventative action.
The department covers the various locations of UK TA.

Job Purpose:

This role resides within The Business Action Tracking TC Team of Internal Controls. The primary job purpose is as follows but you may be required to undertake other tasks that sit within the Internal Control Team.

To ensure all Audit, Compliance, Embedded Control Manager, Event, Regulatory Change and RCSA actions are highlighted, tracked and the appropriate action taken to minimise risk to the business, whilst ensuring deadlines are met.
To ensure adequate oversight of the TC Scheme within UKTA and provide on-going support to the TC members, trainees and supervisors
The job holder will be expected to actively contribute to the continuous development of processes which fall under the remit of the Internal Control Team ensuring alignment and compliance with the overall UKTA Risk Control Framework.

Principal Responsibilities of Internal Controls Team:

The responsibilities of the employee may vary depending on which role they are performing.

Ensure all reported Events, losses and breaches are logged, tracked and managed through to conclusion
Manage the Event process ensuring remediation plans are fit for purpose and SME resource is available to drive resolution
Review and validate evidence submitted by Operations to support closure of Events, losses and breaches
Liaise with Audit, Risk and Compliance groups as necessary for guidance and/or validation purposes
Ensure on-going communication, awareness and understanding of the Event Management Process and Escalation Guidelines across all UKTA sites and Pune through staff induction and continuous education programmes
Compile, monitor and assist with resolving issues raised/reported through the Audit, Risk and Compliance Operational review process
Co-ordinate and facilitate resolution of cross site TA Business Action Tracking issues
Review evidence submitted by Operations for closure of TA Business Action Tracking issues
Ensure on-going oversight, communication, awareness and understanding of Data Protection Information Security initiatives across all UKTA sites
Initiate TC responsibilities to TC trainees and provide on-going support to full members, trainees supervisors
Produce and distribute Management Information in line with the UKTA Governance structure
Maintain and develop relationships within TA Operations, liasing closely with key contacts to ensure best practice is achieved
Act as point of contact for all Internal Control activities for Operations, Audit, Risk and Compliance staff
Participating in projects/activities as directed by Senior Management
Contributing to the development and improvement of all processes and procedures
Prioritise workload to ensure required standards and deadlines are met
Complete task reviews to continually seek improvement in line with Corporate Policies
Work flexibly with colleagues to deliver best solutions for business and controls

Staff Management

Day to day management of the department
Maintain and regularly review issues and action lists for direct reports through monthly one-to-one meetings
Develop and maintain positive working relationships with colleagues, external parties and staff in other departments through effective communication
Maintain and develop staff morale
Ensure Training Plans are in place (including the Learning Wheel)

Personal Development

Keep up to date with corporate and regulatory requirements
Develop and demonstrate effective management and motivational skills
Attain Investment Operations Certificate (IOC) qualification or equivalent within 2 years of joining TC scheme (if not already achieved)
Maintain up to date knowledge of financial services and specific knowledge of legislation and regulations
Undertake ad-hoc tasks; carry out duties including deputising, projects and delegated responsibilities

Process Management (day to day)

The job holder will be expected to continually look for re-engineering and process improvement opportunities at a process, client or industry level
The job holder will be required to support their Line Managers in representing the department during visits of management companies and related third parties (for example auditors and trustees)
The role may include travel to offshore locations.
The job holder will also be expected to participate in various projects affecting the department and to deputise for the Manager as necessary.
