Our client requires an experienced Transaction Manager to join their TMG Group, initially on a 12 months maternity cover basis, although there may be future prospects for a permanent role for the right individual.

It is essential that you are able to hit the ground running and as a result previous experience with documentation review is essential. It would be highly beneficial if this experience was within Corporate Trust.

Responsibilities:

• The review, negotiation and safe keeping of documents entered into by the relevant product group in Corporate Trust that they are aligned to.

• Liaison with sales group after mandate to onboard the transaction

• The execution of documents and attendance at closing meetings, where necessary, and opening accounts for such deal and arranging for KYC to be completed prior to closing. Depending on the product group the BAU administrations teams may assist on on-boarding administration for new deals. The Transaction Manager is responsible for ensuring the deal has been properly approved by the Bank before execution of the deal.

• The issuance of the bonds in conjunction with ITS Closings and the Common Depository team.

• Providing effective handover to BAU administration teams of new transactions at closing.

• The review of amendments, noteholder meetings and resolutions post closing in conjunction with CT Events Admin, subject to the policy of the Trustee committee and their relevant product group.

• Providing advice to BAU administration teams for ad hoc documentary advice and assist on product initiatives (where necessary) and on the redemptions of deals.

• Liaising with Trustee counsel on each transaction together with development and maintenance of relationships with law firms.

• Providing assistance on projects and documentational/jurisdictional issues and procedures as required by the business.

• Participation in any other project work as required by the business.

• Ad hoc work as reasonably required by the business.

Qualifications and Training: 

• Legal qualification in a common law jurisdiction preferred

• Degree level education or higher, or exceptional corporate trust experience as an alternative 

Relevant experience

• Experience of legal private practice and/or CT and/or banking environment if such position involved document negotiation.

• Proven legal and document management skills

• Proven personnel management and leadership skills

• Strong product and market knowledge

• Ability to understand client needs and align these to the product / services of the Bank.

• Ability to effectively influence clients/external lawyers in key business areas.

• Ability to manage relationship difficulties (both internally and externally) for the benefit of the Bank and the client's business and to effectively and cooperatively across various functions of the bank

• Language skills would be greatly beneficial – Italian, Spanish or German
