Posted Position Title: Transactional Associate, Legal Career Level: Experienced Function Legal Function Segment: Treasury Location: United States U.S. State, China or Canada Provinces: Connecticut City: Stamford Postal Code: 06905-3417 Relocation Assistance No Role Summary/Purpose: This role will report to the Manager, Legal Transactions, Treasury Funding and will draft and drive closing of debt transactions, manage and maintain legal documentation for debt offerings and regulatory filings, manage the credit support obligation system. Essential Responsibilities - Draft term sheets and pricing supplements on debt offerings, working closely with GECC funding team counsel. - Assist in the execution of annual update process for debt shelves, with a view to improving process and reducing cost, in coordination with GECC funding team and outside counsel. Affect all US and international regulatory filings with respect to debt issuance and maintain robust filing process and documentation database. - Draft ISDA master agreements, credit support agreements and repurchase agreements. Conduct due diligence on counterparties and liaise with senior lawyers on legal issues such as capacity, authority and bankruptcy. Responsible for execution and maintenance of records related to these agreements. - Manage implementation of new credit support obligation system. - Manage ongoing testing and monitoring tools to measure the functionality of the credit support obligation documentation database. Assist in implementation of credit support obligation certification processes and development of credit support obligation reporting capabilities. - Maintain and update corporate governance documentation of Treasury managed legal entities, and develop communication plan with legal entity management group. - Build and maintain suitable legal department library and drive improvements in overall department efficiency. Qualifications/Requirements: - Bachelors Degree and at least 3 years of experience in a similar role within a legal department or firm/corporation managing documentation processes.
