Provides expert legal advice and legal services (including the management of a small team and legal process outsourced resources) for licensing, outsourcing, consulting, procurement and similar engagements with technology, service and other providers; advises on technology, data security and privacy matters; manages corporate intellectual property activities; and, as needed, participates in related aspects of corporate and business unit projects, strategic initiatives and MA activities across State Street's global operations
The Managing Counsel--Procurement and Technology will advise on a wide variety of matters, including:
- Counseling on the legal issues and related processes associated with strategic and ordinary course licensing, hosting, outsourcing, consulting, procurement and similar arrangements, including negotiation of contracts and disputes and related documentation, participation in risk analyses, advising on process issues (e.g., confidentiality agreements and RFPs); and integration of policy and practice objectives of other corporate divisions (e.g., corporate information security and privacy)
- Advising Intellectual Property Department and business units regarding licensing and technology matters and relationships, including strategic alliances and disputes
- Supporting management of corporate intellectual property activities, including registration and disputes
- Advising and conducting due diligence on technology and sourcing matters for acquisitions, joint ventures and other initiatives
- Managing and monitoring outsourced legal process resources, primarily in support of contractual procurement matters
- Monitoring and identifying regulatory risks and issues and providing solutions to minimize corporate exposure
- Special projects as requested
- Substantial experience and responsibility in contractual negotiations over a wide variety of licensing, service provider and other matters, including establishing efficient related processes and forms
- Subject matter expertise in technology licensing, outsourcing and strategic relationships
- Strong understanding of intellectual property and data security protection
- Experience with managing staff and service providers
- Superior communication, client service, drafting and writing skills, attention to detail and fiduciary sensibility
- Experience and ability to excel, individually and collaboratively, in a multi-disciplinary environment, communicating with various levels in a large firm
- Juris Doctorate and bar admission
- Minimum 8-10 years of related work experience
