Morgan Stanley Co. LLC seeks Vice President, Leveraged and Acquisition Finance in New York, NY to provide financing and capital structure management including pitches, new business origination/development, advisory work, and corporate finance strategy for Media Corporates and Financial Sponsor Media portfolio companies. Interact on a regular basis with senior level executives of client companies. Responsible for origination, structuring and execution of Leveraged Loan and High Yield financing transactions in the context of LBO's acquisitions, dispositions, refinancings and recapitalizations. Execute and structure High Yield financing transactions using products such as bank loan products, bond and mezzanine products for companies that are rated below investment grade. Collaborate with colleagues and outside clients for the preparation of deal offering memorandums, marketing documentation and rating agency presentations. Review company financial models, operational outlook and credit profile, as well as perform due diligence. Structure deal terms based on an in-depth understanding of the market dynamics and credit on hand. Negotiate financing deal structure and documentation such as commitment papers, description of notes and credit agreements. Manage the internal deal approval process including preparation and presentation of deal terms to internal committees for capital commitment, and firm risk/exposures. Work with the Syndicate and Sales teams to help syndicate the financing transactions to investors. Keep track of both industry and Leveraged Finance market dynamics and collaborate with Syndicate to maintain an in-depth and current market and product color. Closely follow news and capital structures of companies in the Media universe with an in-depth knowledge of their financing documentation, covenants and flexibility to access the markets. Utilized tools and technologies such as Bloomberg, MS Office (Word, Excel, PowerPoint), and Market Data Applications.
Skills Required:
Master's degree in Finance, Business Administration, or Economics or related field or equivalent, and three (3) years of experience structuring and executing leveraged loan and high yield finance transactions in the context of LBO's, refinancings, acquisitions and dispositions, on behalf of a global financial services institution. Prior experience must include preparing deal offering memorandums, marketing materials, and rating agency presentations; financial modeling; working with bank, bond and mezzanine products; negotiating financing documentation, such as commitment papers, description of notes and credit agreements; managing the internal deal approval processes; working with syndicate and sales teams to syndicate financing transactions to investors; monitoring and staying current with the leveraged finance market dynamics; structuring around various capital structures; and utilizing technologies and tools such as Bloomberg, MS Office (Word, Excel, PowerPoint), and Market Data Applications.
