VP, Funds Attorney recruitment
• Provide expert and timely advice particularly in relation to law and regulation of investment funds across the Firm, primarily in the United States and Latin America. Also provide support to the broader Legal team in EMEA to support the businesses globally.
• Assist Global Research Investments (GRI) in the structuring, development and execution of all new fund products on the alternatives and long only funds platforms.
• Engage and manage support from external legal counsel to advise in relation to launch of new products and supervise to ensure that risks to the Firm are mitigated and to maintain cost and budgeting discipline in external service purchasing.
• Assist GRI in connection with commercial/contractual matters relating to the Firm and global funds business, including negotiation of custodian, administration and depositary arrangements with regard to products on the platform.
• Draft documentation and negotiate transactions showing high level of legal skill and commercial awareness; including placement agreements, NDA’s, trail fee letters, etc.
• Assist in the management and maintenance of the alternatives and long-only platforms, including launch of new funds, updating offering documents, entering into distribution agreements with third parties and affiliates, managing relationships with third party service providers, managing legal aspects of fund closures, mergers, directors meetings, shareholder meetings and extraordinary events.
• Assist in the maintenance of the alternative funds platforms including support in regard to corporate restructurings, management of extraordinary events, board meetings, updating of marketing documentation.
• Perform legal due diligence on all alternative investment funds that are approved for the platform globally.
• Proactively advise on and help to manage important changes in law and regulation affecting the funds business.
• Liaise with and involve other members of the Legal Function and other stakeholders throughout the Group on legal risk.
• Assist in the handling and resolution of client complaints and potential litigation relating to the funds business.
• Assists with increasing awareness of legal risk across the Firm and training of business to mitigate risk issues.
• Review marketing materials and advise on new regulatory requirements affecting marketing arrangements.
• Provide input to new and existing policies and procedures and ensure that changes to processes are within the permitted legal and regulatory framework.
• Identifies ‘best practice’ and areas where remedial action is required.
• Manage external legal resources and ensure quality advice and value are delivered.
• Ensure reporting requirements are understood and that internal procedures are complied with.
Person Requirements
Basic Qualifications:
- 3+ years of professional experience as a practicing attorney with focus on investment funds and alternative investment funds either in-house with a financial services organisation or with a significant national or international law firm.
- Law degree from an accredited law school, and must be admitted in good standing to the Bar in at least one US jurisdiction
Preferred Qualifications:
- Knowledge of the Investment Company Act of 1940 and the US securities laws is required.
- Knowledge of the Investment Advisers Act of 1940 is a plus.
- Specific experience in regard to negotiation of fund distribution agreements is a plus.
- An understanding of client service and effective business delivery.
- Awareness of international regulation affecting distribution of funds generally.
