JOB SUMMARY:
To serve as counsel in a group of lawyers and associated professionals who support the Firm’s derivatives businesses. The role involves structuring, drafting and negotiating legal documentation and advising on legal, regulatory and reputational issues arising from initiation to termination of derivatives counterparty relationships.  The role also involves (a) working with GC colleagues in other units in connection with transactions involving derivatives, (b) coordinating and overseeing outside counsel (where involved) and (c) coordinating with credit, compliance and other control groups.  It may involve assisting with compliance training and other initiatives, and participating and representing the Firm in industry initiatives and industry associations such as ISDA, LSTA and SIFMA. 

THE ROLE INVOLVES:
The lawyer will have responsibilities as assigned in support of various businesses that transact derivatives business with a broad range of counterparties with a focus on money managers and funds, including specifically:

Prepare, negotiate and execute ISDA Master Agreements (including the Credit Support Annex, tri-party control agreements, and other related documents, where applicable) on behalf of Credit Suisse Group entities.  This requires a full appreciation of the linkage and coordination of this function globally.

Manage and prepare necessary documentation in respect of the termination of derivatives transactions in cases of counterparty defaults, and advise Credit Risk Management.

Define, communicate and coordinate the issues arising from matters assigned to the lawyer with the relevant business group, other departments and other counsel.

Advise Credit Risk Management and business units throughout the Firm on credit and business related provisions of the ISDA Master Agreement, Credit Support Annex, tri-party control agreements, and other derivatives documents.

Manage the negotiation process to ensure timely execution of documents.

Ensure the timely and accurate entry of information in various technology systems and review the relevant provisions, credit and collateral terms entered into the Firm’s documentation management system to ensure data integrity relating to matters assigned to the lawyer.

Supervise paralegals who are responsible for performing the legal diligence necessary for clients to enter into derivatives transactions.

Maintain current awareness and understanding of industry trends and developments across the derivatives business as they relate to the lawyer’s areas of responsibility. 

Perform all other duties and projects as assigned by GC management. Qualifications TO QUALIFY, YOU MUST POSSESS:

• Excellent client service and internal coordination skills.
• Strong analytical, drafting, and communication skills.
• Ability to collaborate closely with stakeholders from different disciplines, GC colleagues, and within a team.
• Knowledge of insolvency law and secured transactions law or experience working with funds or in asset management is desired.
• 5+ years negotiating ISDA master agreements and other related documents; experience negotiating and advising on tri-party control agreements
• Undergraduate degree
