Responsibilities:
The Assistant Controller role is responsible for managing the accuracy and timeliness of all external financial statements and compliance reporting. The candidate must remain current on new GAAP pronouncements and SEC regulations as they are released, assessing the impact to the Company and ensuring adherence to compliance requirements. The position will be responsible for internal controls over the financial reporting process including administering the Company's SOX compliance program. The Assistant Controller will oversee the Global monthly and quarterly consolidation and reporting effort. This position will also manage the technical accounting and compliance aspects of business challenges and opportunities including: directing the accounting associated with acquisitions and divestitures, assessing processes/procedures and implementing improvements where necessary, and reviewing key dependencies and functional areas which impact the periodic financial statements.
The Assistant Controller is a high profile and challenging position, which reports to the Senior Vice President Corporate Controller, and regularly interacts with senior financial management across various corporate functions and business units, external consultants, as well as advisors and operating management at domestic and international locations. More specific responsibilities include:
- Direct all periodic financial reporting, including the preparation and filing of SEC financial statements, registrations and other compliance filings. Ensure financial statements are in compliance with SEC, GAAP and other regulatory requirements.
- Assist in the preparation of quarterly earnings releases, investor presentations, rating agency and other presentations to outside parties. Work closely with Investor Relations and General Counsel to ensure accuracy and compliance with applicable laws and regulations.
- Oversee the monthly and quarterly closing process including the global consolidation process. Establish and maintain system interfaces to the global consolidation system and report consolidated results. Record corporate activity and maintain corporate ledgers.
- Establish and maintain effective accounting standards, policies and processes to ensure that required recording, analysis and reporting of financial information is clear and consistent, and available at all levels of the company on a timely and accurate basis.
- Develop an effective system of internal controls, procedures and policies, enhancing financial systems and controls to meet this objective. Document and test key processes and dependencies in accordance with Sarbanes-Oxley requirements and maintain comprehensive documentation in support of accounting positions and conclusions.
- Assist the Corporate Controller in developing reporting packages to facilitate review of the financial statements with key constituents, including the management team, Disclosure Committee and Audit Committee. Work with the Corporate Controller to provide updates to the constituents regarding significant changes to accounting principles and policies.
- Work closely with the external auditors and General Counsel on all reporting issues that require direct communication with the SEC. Manage aspects of the external audit that relate to preparation of the financial statements. Interact with external auditors and legal advisor on disclosure-related items.
- Perform or direct all accounting and technical compliance research related to external filings, ensuring the Company is aware of, and in compliance with, the latest reporting requirements, including FASB and SEC pronouncements. Review, interpret and implement relevant reporting requirements issued by the various governing bodies.
- Develop solutions to major challenges and situations which require complex accounting. Elevate issues to the management team as necessary, evaluating and consulting with the business leaders on accounting implications of proposed transactions, projects and issues.
- Work with the Corporate Controller and CFO to provide accounting and financial expertise in support of acquisitions, divestitures, restructurings and integrations, and debt and equity financing. As required, assist in the performance of due diligence for potential acquisitions as well as the integration of those acquisitions into the core business. This requires coordinating with the Corporate Accounting, Tax and Treasury departments, and applicable business unit(s) at domestic and international locations.
- Establish strong internal and external customer relationships as well as working relationships with team members within or outside of the department to ensure the success of major projects.
- Manage direct reports and develop team. Attract, develop and retain competent and committed staff. Establish clear performance objectives and provider career guidance for each direct report. Motivate and reinforce teamwork. Mentor staff and provide technical leadership.
- Present information and recommendations often in a group setting or to senior management, influencing company policy, practice or strategic direction. Measure and report on all areas of responsibility, including executive reporting.
- Guide the successful completion of major projects and functions in a project leadership role.
Requirement:
In addition to the necessary skills and experience to perform the responsibilities outlined above, there are a number of traits that a successful candidate will possess.
Technical Requirements
- BS in Accounting or Finance.
- CPA required.
- Minimum of 15 years of relevant experience. Big 4 public accounting experience necessary.
- Technical and comprehensive knowledge of all areas of accounting.
- Previous responsibility for SEC financial reporting. Extensive knowledge of GAAP, SEC rules and regulations, regulatory accounting and reporting requirements.
- Experience in managing and developing an accounting and finance organization, particularly in a large, complex environment.
- Solid understanding of Sarbanes Oxley 404 compliance. Strong appreciation for procedure, process and operational excellence.
- Ability to interface and communicate effectively with corporate management and all other functions in the Company. Experience in working with executive management, boards of directors and audit committees.
- Strong computer skills including knowledge of computer financial applications and ERP systems, particularly SAP and Hyperion, are beneficial. Proficiency in Word, Excel, and PowerPoint.
- Open to occasional travel. Light domestic and international travel should be expected.
