Assoc Counsel

Job Description · Assist with the design and operational compliance of tax-qualified retirement plans, as well as non-qualified deferred compensation plans · Provide legal support for the administration of broad-based equity compensation programs, including global stock plan and employee stock purchase plan design, implementation and operational compliance · Negotiate benefits and compensation representations and covenants, perform requisite due diligence and advise on integration matters in connection with mergers, stock and asset purchases and other corporate transactions · Advise on and assist with the preparation of employment and severance arrangements · Provide legal support in the implementation of a full corporate benefit platform of health, welfare and fringe benefit plans and arrangements · Handle regulatory (IRS and DOL) audits, applications and other filings that may arise in connection with employee benefit plans from time to time, as well as periodic SEC filings · Provide legal advice on all relevant statutory and regulatory matters arising under the Internal Revenue Code and ERISA, as well as marketplace perspectives and common practices Experience/Education/Skills · Ideal candidates have 4-5+ years of relevant experience at a large law firm and/or a NYSE or NASDAQ listed company · JD required; must be a member in good standing of a state bar association · Excellent communication and interpersonal skills · Strong organizational skills, attention to detail and sense of urgency · Ability to work independently, but within a team-focused environment Employer Information EMC Corporation (NYSE: EMC) is the world?s leading developer and provider of information infrastructure technology and solutions that enable organizations of all sizes to transform the way they compete and create value from their information.
