AVP/VP Investment Funds Counsel
You will report directly to the Deputy General Counsel and be responsible for focusing on the legal servicing needs of our portfolio departments, as well as to handle other corporate and securities law matters.
You will be responsible for the following primary duties:
* Review of deal and financial products documentation and closing of transactions involving investments in portfolio securities for mutual fund and other advisory clients, with particular emphasis on public and private debt and equity offerings of U.S. and non-U.S. issuers.
* Responsibility for handling questions from portfolio managers about investment transactions and trading.
* Working with portfolio and back office personnel on brokerage maters, such as soft dollars, brokerage reporting to fund boards and clients, best execution and trade allocation.
* Providing legal counsel and support to internal governance committees. * Assisting with orientation of portfolio personnel on compliance matters as well as fund and advisory client investment policies and restrictions.
* Drafting policies and procedures relating to investing, trading and operations to comply with applicable laws and regulations.
* Supporting registered investment company compliance responsibilities, such as updating registration statements, review of advertising materials, preparation of proxies and advisory and distribution agreements.
You will ideally have between 6 - 10 years' relevant experience, with a strong understanding of issues arising for investment companies under the Investment Company Act of 1940 and the Investment Advisers Act.
You will also possess strong knowledge of the federal securities laws, including Securities Act of 1933, and the Securities Exchange Act of 1934.
At least 2 years' relevant experience in a major law firm and/or experience with an investment company-asset management firm or financial institution are preferred.
You will be experienced in working directly with the trading desk on a daily basis.
You will be bar admitted and come from an excellent acadmic background.
