Company Secretarial Junior Attorney

Legal and Governance assists Macquarie and its businesses in achieving their objectives by providing strategic legal advice and managing Group-wide legal issues. Legal and Governance also comprises Company Secretarial which is responsible for the administration of all Macquarie Group companies as well as administrative services for Non-group companies.

Role Descirption:

· Board Support and Corporate Governance: Organize and attend board and committee meetings, draft minutes and actions by written consent. Assist in organizing annual meetings for all group entities within the region.

· Entity Administration and Compliance: Oversee formation, dissolution, corporate maintenance and administration for entities in the United States, Mexico, Argentina, Brazil and the Dominican Republic. Liaise with external service providers to ensure compliance with local laws and regulations. Assist with integration efforts of newly-acquired entities. Draft and provide corporate administration documents: powers of attorney, delegations of authority, officers' certificates and incumbency certificates. Assist with document execution.

· Transaction Support: Provide technical and advisory support to Macquarie's business groups on transactions and ad hoc projects. Perform due diligence and draft diligence reports. Review and comment on new project proposals and transaction documents. Advise on local corporate law requirements and Macquarie's internal policies and procedures.

· Systems Administration and Corporate Record Keeping: Maintain and update general corporate database, run organizational structure charts and reports from the same.

· Ad Hoc Requests: Support on internal projects such as restructurings, declaration of dividends, capitalizations, equity award plans, intra-group service agreements and development of processes and policies. Oversight of responses to audit requests. Liaise with global counter parts in Sydney, London and Hong Kong on the above.

Knowledge, Skills and Experience:

- J.D. required

- 1-2 years experience with financial services organization dealing with entity administration preferred.

- Excellent communications skills and the ability to work collaboratively to meet deadlines
