Company Secretary Asset Management Asia Pacific recruitment
As Company Secretary for the region, based in Hong Kong, your key responsibility will be to ensure that all the regional Asset Management companies and committees comply with their respective local statutory requirements. In addition you will be required to have oversight of the company secretarial requirements for all other asset management companies domiciled outside the region but controlled or managed from Asia Pacific, e.g. a management company in the Cayman Islands
To carry out company secretarial functions which include:
Company Secretarial Compliance Work
- Ensuring that all Asia Pacific asset management companies meet their local company secretarial statutory requirements ( including non-Asia Pacific companies and up keeping of company information
- Maintenance of statutory registers, e.g. register of Directors, members etc.
- Maintaining group structure charts
Supporting regional Boards Committees
- Organising Asia Pacific Board of Directors / Committee meetings, including preparing agendas, collating and circulating Board/Committee papers and preparing minutes for all Boards and key executive management meetings as required
- Supporting non UK boards (where companies are managed from Asia Pacific). May require travel from time to time.
Special Projects
- Company secretarial assistance with corporate restructurings and M A
- Providing guidance to Board Directors and management regarding the implementation of any new relevant corporate legislation in the region.
Other
- Maintain good working relationships with other governance functions, e.g. Compliance, Finance, Legal and Risk.
- Miscellaneous company secretarial tasks as required from time to time e.g. company formations, branch registrations, company changes of names, arranging for notarization and apostiling of company documents
- Help on legal and compliance-related tasks when appropriate
Assist the Chief Administrative Officer in relevant ad-hoc projectsComply with all corporate policies and procedures within the department.
General Job Functions:
- Alert management immediately of any significant changes to business risks and internal controls effectiveness.
- Notify management and/or Compliance immediately of any regulatory breach.
- Comply with health and safety policies and procedures operating within the business.
