Corporate Treasury Documentation Team - Associate

Morgan Stanley's Corporate Treasury Department is seeking an individual to join the Parent Guarantees Documentation Team. This individual will support the Firm's business trading relationships globally via the issuance of Parent Company Guarantees. Parent Company guarantees are entity and product specific and are issued when requested by counterparties (e.g., trading counterparties, creditors and regulators, as applicable). The candidate will have regular and direct interactions with business unit teams and external clients along with other groups including Legal, Operations, Financial Control Group, Information Technology and Tax.

Responsibilities will include:
• Assist with all aspects of the Parent guarantee process including:
o Preparation and maintenance of standard guarantee documentation forms
o Gathering information and understanding all aspects of an underlying transaction to identify all potential exposures to the Parent Company
o Negotiation of counterparty proposed language for inclusion in non-standard forms with the assistance of the Legal Department
o Reviewing all documentation to ensure compliance with policy and discussing all exceptions with senior management
o Coordinating senior management sign-off on all final documents
o Providing business units with executed guarantees
• Produce regular reporting on outstanding guarantees by legal entity to support Tax Department initiatives
• Report on potential monetary exposure for each guarantee issued
• Collaborate with Information Technology to enhance and maintain Guarantee Tracking System
• Train Business Unit documentation teams on the guarantee process and the Guarantee Tracking System
• Support the Legal Entity team and business unit requests on outstanding guarantee validation
• Maintain and update the Guarantee Issuance Policy and Procedures documents
• Assist with special projects including those related to various Firm-wide work streams

Skills, Attributes
• 3+ years experience in documentation and negotiation; paralegal experience a plus
• Excellent communication skills both written and verbal
• Strong interpersonal and negotiation skills
• Strong organizational skills, precision and accuracy in work
• Team player, collaborative
• Well versed in Excel, Power Point, and Microsoft Word
