Counsel
Loan Closing
- Familiar with LMA/LSTA (Par and Distressed) documentation
- Loan settlements on and off ClearPar
- Loan settlements via sub-participation, bilateral and multilateral netting, cash-settlement, over-under settlement
- Loan Due Diligence – Familiar with transfer provisions, withholding tax and regulatory issues
- Non-loan settlements – private-placement notes, equity/warrants
- Oversight of service providers in relation to loan closing
ISDAs/Derivatives
- Dealing with KYC queries from counterparties including due diligence calls
- Review and negotiation of 1992/2002 ISDA Master Agreements, 1995 CSA
- Vanilla Trade Confirmation review
- Catering negotiations to type of fund
- Maintaining spread sheet of material terms
New Funds and Fund Restructuring/Amendments/New Issues
- Drafting term sheet and understanding commercials of the fund
- Managing external legal and other related parties
- Fund documents review and project management
- Advising business and clients on the requirements for restructurings, new issues and amendments
Confidentiality Agreements and other related documents
- Review and execution of NDAs (investment and non-investment related)
- Review and execution of non-reliance/hold harmless letters etc.
- Maintaining spread sheet of NDAs
Corporate Actions
- Review and execution of corporate actions relating to investments for the different funds which have different procedures for execution
- Maintaining spread sheet of corporate actions
Counterparty Set-Up
- Working with external service providers to add new trading counterparties
- Review and execution of KYC documents
- Providing KYC documents to counterparties
Investor/Operational Due Diligence
- Assist, contribute and review investor due diligence questionnaires
- Dealing with clients and potential clients in relation to due diligence visits
Any other adhoc legal and operational queries and issues which may arise.
Requirements
- Legal background (preferable)
- Familiar with LMA/LSTA, ISDA/CSA, credit documentation
- Asset/Investment Management or in-house legal experience
- Microsoft Office
