Director, China Senior Legal Counsel recruitment

Areas of responsibility:

• Corporate banking: Comprising all local lending and leasing to PRC corporate/FIs, ISBs and regional MNCs. Responsibilities would include drafting and negotiating commitment letters, term sheets and confidentiality agreements; reviewing loan agreements, security agreements, leasing agreements, guarantees, inter-creditor agreements, legal opinions, reliance letters and other closing documentation; providing legal support for internal deal approval process.

• GTS: Comprising local cash management, treasury, trade finance with PRC corporate/FIs, ISBs and regional MNCs. Responsibilities would include advising on letters of credit, bank guarantees, bills of exchange, collection instructions, security agreements and account opening documentation.

• Banking regulatory: Comprising all legal aspects of CBRC/PBOC communications, supervision and compliance, bank licensing and other PRC regulatory matters. The onshore lawyer is also a regulatory requirement, and would also be primary support, for the local incorporation project, which is pending. This is an area of growing importance in view of local management’s plans to grow the onshore platform, which will involve substantial legal review from a local regulatory point of view.
