Equity Capital Markets Lawyer
Job Purpose:
The main focus of the position is legal coverage and support for Citi's EMEA equity capital markets (ECM) business.
Job Background/context:
The role is in Citi's ECM Legal team which is part of the broader Corporate and Investment Banking Legal group (CIB Legal). CIB Legal provides legal coverage and support across EMEA for Citi's Investment Banking and Mergers Acquisitions teams; the Bank lending businesses (which includes corporate lending, investment grade and emerging market loans as well as project, export agency, acquisition and leveraged finance); the Equity Capital Markets business; the Debt Capital Markets business (which includes securitisation, real estate and structured finance). The group also supports Institutional Recovery Management (IRM), Citi's work-out and restructuring group.
Key Responsibilities:
The position offers the opportunity to work on a broad range of very high quality and challenging matters, focusing on various types of ECM transactions such as IPOs, rights offerings, equity-linked offerings and block trades.
Key responsibilities include negotiation of and providing legal advice with respect to underwriting, placing and mandate agreements and other related documents; advising transaction teams on structuring of transactions; and advising the ECM business generally on numerous topics and issues commonly occurring in ECM transactions (e.g., auditors' comfort, prospectus disclosure, analyst research, etc.).
Development Value:
The position involves extensive contact with the equity capital markets business and involvement at the front end of transactions in structuring and issue resolution. Although the position will focus primarily on supporting Citi's EMEA ECM business as described above, the successful candidate will enjoy working with colleagues in the larger group and will have the desire and ability to work (where necessary) on a variety of other matters.
Knowledge/Experience:
The successful candidate will be a self-starter with experience of executing ECM transactions gained either in private practice or at another top-tier investment bank, supported by an excellent academic record.
Skills:
Special consideration will be given to candidates' experience in ECM transactions and familiarity with standard documentation for such transactions.
Qualifications:
Qualified UK solicitor or barrister or US attorney (or equivalent in other jurisdiction if have practical knowledge of UK legal practice).
Exceptional candidates who do not meet these criteria may be considered for the role provided they have the necessary skills and experience.
