About the Role:
The Luxembourg office of this international organisation plays a major part in its operations, offering clients high value-added services extending from custody to securities lending, fund administration, performance measurement and ratings, and bond issuance services.
As part of its development strategy, they are currently looking for a Funds Lawyer.
As a Fund Services Lawyer, you will report to the Global Head of Legal primarily supporting the Asset and Fund Services division of the organisation.This entity was created expressly to provide specialist securities services and investment operations support to a wide range of issuers, financial intermediaries and institutional investors. The geographical scope of the position will be Europe, the United States and Asia Pacific.
Responsibilities
- Provide legal support in respect of critical business initiatives and projects, e.g. AIFMD project and management of legal risks within the fund services business division
- Identify and implement legal, regulatory and market practice changes to template legal documentation
- Work with international legal and product colleagues to ensure the consistent development of legal precedents and practices relating to the business
- Development of global legal guidelines relating to products and legal documentation
- Advise on new product and marketing initiatives relating to the business line
- Approve new products as part of the product validation committee process
- Negotiate, draft and review contracts within the business
- Participate in project and committee meetings relating to the business line
- Provide support and act as a point of escalation for local legal colleagues supporting the business line
Profile:
Education: You are a qualified solicitor qualified in UK/Ireland or a lawyer qualified in other European jurisdictions.
Professional experience:
- Minimum of 8 years relevant post qualification experience and experience or knowledge in the following areas: custody, fund administration, dealing/execution, depositary/trustee services, fund domiciliation and paying agency services, transfer agency, fund (or services for funds) product development; and regulatory issues affecting the fund and/or investment management industry
- Relevant post qualification experience gained either in-house in an international financial services organisation or in a medium or large private practice specifically dealing with financial services matters
- Experience in drafting, reviewing and leading complex negotiation of legal agreements
- Experience of working with international colleagues (legal and business) in the coordination of international transactions and projects
- Experience of the product development process (i.e. identifying and quantifying legal risk) and commercial transactions
- Experience of creating new precedents and amending existing precedents for developing product offerings
Technical skills:
- Awareness and understanding of regulatory, credit and tax aspects of a global financial services business (including cross-border issues) e.g. AIFMD, UCITS V/VI and EMIR
- Technical expertise and experience in investment management and funds would be an advantage
