FUNDS LAWYER (UCITS SPECIALISATION) recruitment

The position requires a senior candidate with extensive legal knowledge and financial services experience with a specialization in the funds industry. The candidate must possess the ability to implement practical implementation of UCITS rules within the EU. The candidate will be required to undertake drafting of prospectus, addendums and general commercial agreements. Candidates must be capable of implementing all changes arising out of UCITS IV and to apply such changes to the applicable documentation arising from inter alia UCITS notices and guidance notes. Candidates will be expected to conduct legal reviews of all public documentation, including marketing and promotional communications which the Funds and/or Management Company propose to disseminate. Performance of general legal services including drafting and evaluation of contracts and agreements, evaluation and mitigation of contractual and legal risk, the supervision and oversight of company secretarial and AML functions undertaken by the various funds within their respective home jurisdictions. Drafting, reviewing and negotiating distribution agreements for mutual fund range with numerous distributors globally.

Qualifications experience

• LLB or equivalent in relevant jurisdiction

• Admitted attorney/solicitor or barrister/advocate

• 8-10 years experience working in the funds industry or in private practice with a specialist practice in the funds industry (to include expertise on UCITS funds)

• Good working knowledge of MS Excel and Work and good computer literacy

 Job Description

The candidate will work with legal and compliance professionals as part of a team. The team is responsible for the delivery of legal support for the Irish domiciled, and FSA registered UCITS funds. The responsibility of the team includes product development, new fund launches, restructuring, maintenance and update of prospectus/marketing materials, shareholder communications, preparation and filing of fund documentation with regulators and stock exchanges on a timely basis.

The candidate should be able to:

• Apply country specific UCITS notices with detailed understanding of Ireland and/or UK regulatory framework;

• Provide legal support to distribution team;

• Draft, review and negotiate distribution agreements for mutual fund range with numerous distributors globally;

• Provide legal advice on marketing, promotion and sales of investment products on a multi-jurisdictional basis;

• Support the development of new products for the business (UCITS sub-funds; fund of funds products);

• Research and advise on developments in the law, regulation and practices relating to the retail funds industry with a particular emphasis on Irish and United Kingdom law and regulation;

• Provide updates on developments within the respective financial regulators and industry bodies;

• Assist the product development, product implementation functions in the development of new schemes, classes and categories;

• Undertake regulatory compliance reviews and evaluation to ensure that all aspects of pertinent and relevant legislation, guidance notes, and prospectus requirements are complied with on an ongoing basis;

• Where necessary, provide support to other members of the legal team in respect of the provision of corporate legal services, including company secretarial functions.
