About the role
Reporting to the General Counsel, Commercial in the Legal and Governance Group, you will join a team of eight lawyers in Sydney and two in New York who have a global remit across the Macquarie Group. You will primarily be responsible for the provision of legal advice and assistance for information technology and commercial business services, encompassing:
- Reviewing, drafting and negotiatingIT and other commercial contracts, including: services agreements for consulting and technology services, supply agreements, software licensing and maintenance agreements, escrow agreements, confidentiality agreements and procurement contracts
- Intellectual Property (IP) including trademarks, copyright and internet content
- Delivering training for Macquarie staff on contract principles
- Acquisitions due diligence; participation in the due diligence and the integration phases of such transactions; drafting and negotiation of documents and agreements relating to acquisitions and divestitures where Macquarie is principal
- Compliance - ensuring thatMacquarie complies with its obligations under current contracts, as well as compliance with applicable laws and regulations in each jurisdiction, including privacy laws; and the maintenance of records for current, pending or threatened litigation
- Briefing of external counselwhen necessary.
About you
- Qualified lawyer with post admission experience
- In-house or private practice background
- Commercial law understanding, ideally with IT and IP
- Solid negotiation skills
- Inquisitive nature; comfortable asking questions and giving advice at all levels of an organisation
