Manager, Company Secretarial, ANZ (Legal and Governance)*
About the Role
This role is responsible for the management, oversight and administration of Macquarie's Australia and New Zealand subsidiary entities, including management of a team of 4 qualified or part qualified Company Secretaries. Reporting directly to the Head of Macquarie's Global Company Secretarial Services team, you will be responsible for ensuring effective subsidiary governance and statutory compliance. Your key accountabilities include:
- Board support and corporate governance:
- Attending and minuting meetings of Macquarie's Australian subsidiary entities including oversight and collation of board papers for monthly and quarterly board and committee meetings.
- Drafting and maintaining Board minute templates.
- Coordinating training and induction for subsidiary Board Directors including maintenance and regular updates to electronic Board information packs.
- Australian and New Zealand Company administration:
- Maintenance of statutory records and annual filing obligations in the Australia and corresponding Branch registrations offshore liaising with local company secretarial teams, assisting with the annual reporting cycle, accounts approval, dividend payments, safe custody of company documents of title and company seals, arranging the signing and sealing of powers of attorney and other documents.
- Active management of companies, funds and trusts.
- Document management and co-ordination:
- Key member of team transforming Company Secretarial through extensive use of electronic storage and delivery of Board papers, minute books, statutory documents and key agreements for Macquarie subsidiary entities.
- Transaction support:
- Providing company secretarial technical advice and support to Macquarie business groups on transactions and other ad hoc projects as required including: new company incorporations, dissolutions, reorganisations and structuring, new funding instruments, recapitalisations, acquisitions; drafting resolutions and other documentation, advising on application of Macquarie policies and local legal requirements, liaising with third parties etc.
About You
You will enjoy working in a dynamic and challenging environment. Your strong knowledge of Company Secretarial processes requirements and corporate governance best practice coupled with your ability to communicate well at all levels and work effectively under pressure is essential to your success in this role. You will also have:
- Degree qualified with ACIS accreditation (or equivalent)
- Knowledge of the Australian Corporations Act is essential
- Ability to manage a varied workload and conflicting deadlines
- Excellent written and verbal communication skills with a high attention to detail
- Experience managing and motivating a team
- Ability to offer pragmatic and commercial solutions are essential
- Knowledge of financial services regulation and environment would be advantageous
