MISSION

 

We are currently looking for a senior legal Counsel. Your primary responsibility is to provide legal support and advice to your internal customers who are spread over the organization in Europe and with whom you have a close working relationship. You advise on a broad range of legal issues in various domains of law. You review, negotiate and draft a wide range of proposals and contracts with service providers, suppliers, clients and other parties. The follow-up and coordination of litigations is also part of your responsibility. Additionally to these aspects, you are also responsible for the corporate housekeeping work and the follow-up of all the insurances policies and the damages notifications.

 

You will be working in close co-operation. You will take the full responsibility for Europe, reporting to the NLMK Europe CEO and the NLMK group’s counsel in Moscow.

 

In short, this function offers you the possibility to expand your experience in different domains in a varied and challenging function.

 

Your main tasks will include :

-       Advising internal clients on problem-solving in relation to transactions including handling claims and litigations – you support and advise on dispute resolution

-       Drafting and negotiating contracts, including financing agreements, distribution contracts, services agreements, etc

-       Providing support for major projects of the group

-       Cooperating with the external lawyers within all European entities and centralizing their advices

-       Executing and follow-up of legal matters related to the group structure changes: mergers, incorporation of new companies, liquidations of legal entities, …

-       Ensuring compliance with applicable laws and regulations, company policies, conduct the necessary staff training

-       Coordination and follow-up of local corporate housekeeping work ( preparation of annual reports, preparation of minutes board of directors, publication, …) You are not carrying the HR matters.

-       Coordination and follow-up of the insurances portfolio, responsible for claims management

-       Occasional business trips to Europa.

 

PROFIL

-       You have a Master in Law from an European university.

-       You have at least 5 years experience, preferably relevant experience in commercial law gained at a law firm or the in-house legal division of an industrial company.

-       You have a solid knowledge of Belgium laws and regulations governing contracts.

-       You have excellent oral and written communication skills in French and English. A knowledge of German is a plus.

-       You have the ability to draft review negotiate and manage contracts consistent with established business goals and legal mandates.

-       You show your professionalism in the way to handle confidential matters and your professional rigor for all the documents you have to draft and publish.

-       You are pragmatic, customer- and solution-minded.

-       You are well organised, stress-resistant and autonomous.

-       You can work independently, but are a strong team player in multidisciplinary teams and are able to work well with all levels of management.

-       You take responsibility for your own job.

-       You are persuasive and persistent.

-       You show flexibility and openness

-       You have the willingness to be "hands on" and a proactive attitude
