Senior Manager – Company Secretary recruitment

Responsibilities:

Strategy and Development

•Assist the Division to plan and strategise for enhancement of efficiencies in the Division’s deliverables including office automation and cost effectiveness.

•Assist the Division to plan for Directors’ knowledge enhancement by sourcing for relevant external trainings as well as internally coordinated programs.

•Provide corporate advisory services to internal customers.

•Assist the Division Head in ascertaining operational capabilities in achieving the divisional objectives and results.

•Assist the Division Head in evaluating the Divisional operational risk.

•Together with the Division Head, plan for the future expectations from and towards the Division by the stakeholders.

Operations

•Organises and plans for Board/Board Committee/ Management Committees meetings.

•Attends Board/Board Committee/Management Committees meeting and prepare/review minutes thereafter. Ensure that decisions made thereof are disseminated to the respective parties and are followed through.

•Reviews circular resolutions appropriately and expediently/ prepares the same as and when required/requested.

•Manages the preparation of statutory forms and ensure that the same are filed with the Companies Commission of Malaysia (CCM) within the stipulated timeframe. Ensure that statutory records and registers are promptly and accurately updated.

•Monitors compliance issues including the review of Monthly Compliance Reports related to the Companies Act 1965, the Banking and Financial Institutions Act 1989, Rules/Listing Requirements of Bursa Malaysia Securities Berhad and Capital Markets Services Act 2007 and all other relevant rules and regulations.

•Reviews and verifies corporate secretarial information, Corporate Governance Statement and Board Committees’ its Terms of Reference for Annual Report and ensure the relevant reports and contents of the Annual Report are reviewed and approved by the Board before being finalised.

•Liaise with shareholder and regulatory authorities. (BNM, CCM,   BMSB and SC)

•Liaise with directors/HODs/staff and provide advise on secretarial matters in particular and, general issues if required.

•Liaise with external/internal auditors in relation to statutory audit/due diligence audit.

•Provide secretarial support for corporate exercises.

•Supervises, supports and provides guidance to subordinates.

Requirements:

•ICSA qualification and/or licensed secretary and/or a related degree holder with at least 5 years’ experience in managerial position of related fields. 

•Competent and skilled in Company Secretarial practice in Public Listing Companies or Financial Institutions

•In depth knowledge of relevant statutory requirements such as BAFIA, Co. Act, Listing Requirements and CMSA, etc.

•Good command of English and Bahasa Melayu (Verbal and written)

•Computer Literate, MS Office application
