Senior Transaction Manager (m/f) / Senior Legal Structurer (m/f) recruitment
Tasks and Responsibilities:
Act as main point of contact for all internal and external parties within the documentation and execution process of debt primary market issues.
Establish time- and operating schedules, coordinate procedures with regard to chronological feasibility, market practice and legal requirements, observe deadlines;
Obtain quotes from external service providers; (e.g. legal counsels, agents)
Prepare and negotiate the documentation for plain vanilla bonds and complex transactions in close cooperation with the external legal counsel, DCM/EMTN, Legal Compliance and in coordination with the issuer
Check if the data content of the marketing documents prepared by the Issuer is consistent with the rest of the documentation
Examine the investors advertising folder to avoid incomprehensible and misleading statements with a view to the special (legal) protection for retail investors;
Supply different information systems with relevant issue data
Apply for and obtain the stock exchange listing;
Sign agreements and documents, participate in signings
Initiates, coordinates and monitors the primary settlement of the transaction including the preparation and delivery of the global bond to the common depository as well as the transfer of the issue proceeds to the issuer;
Filing transaction documents
Make sure that credit services receives all relevant information that enable them to execute the banks function as paying, and calculation agent for bonds of 3rd party issuers and own bonds;
Obtain information on legal innovations, dealing with bills, directives, regulations, by-laws and/or amendments of laws
Monitor the incoming fees from syndicate participations;
Organize the settlement of the banks own bond issues and the issuing and paying Agent
Compile monthly reports
Prepare an updated summary of the banks lead managements to the monthly regulatory reporting
Support the DCM teams in the preparation of their income and costs-budgets
Job Qualifications:
Five years or more working experience in the execution of bond issues, loan transactions or other financings;
University degree in economics and finance and/or law or equivalent;
Business fluency in German and English
Flexible and proactive person with an ability to quickly adapt to a dynamic market environment;
