We are presently recruiting for a Senior Principal, Principal Investing based in Toronto, in the Private Investments department. Reporting to the Vice President and Head of Principal Investing, the Senior Principal will lead deal teams in making and managing principal investments around the world and lead deal teams in evaluating potential principal investment opportunities, conducting research, developing investment recommendations, negotiating terms and executing transactions. The Senior Principal has primary responsibility for managing relationships with portfolio companies and for monitoring investments.
Role Specific Accountabilities:
Analyze Investment Opportunities:
- Source investment opportunities and lead the research, analysis and evaluation of a variety of principal investment opportunities as well as manage the overall evaluation process and oversee the development of complex dynamic financial models and valuation analysis, including DCF, precedent transactions and comparable company analysis
- Lead due diligence on opportunities including past and projected financial performance, quality of management teams, investment merits and risks, expected returns, regulatory environment, industry dynamics and other relevant factors
- Review 3rd party due diligence reports and meet with company management and review past performance, strategy, outlook, industry issues, and other relevant topics
Recommend:
- Make investment recommendations based on the results of the team’s due diligence and analysis and oversee the drafting of Principal Investing investment recommendations as well as presenting investment recommendations to the department and the Investment Department Decision Committee and Board, as required
Execute Principal Investments:
- Manage relationships with investment partners and lead the negotiation and execution of agreements and other transaction-related legal documentation
Monitor Principal Investments:
- Be CPPIB representative on portfolio companies’ Board of Directors
- Coordinate with internal groups with respect to monitoring ongoing investments; monitor ongoing financial performance of portfolio companies and oversee the reviews of valuations for portfolio companies
- Primary responsibility for building and leveraging relationships with portfolio company management teams and private equity sponsors; co-ordinate with the Funds and Secondaries team to ensure that their relationships with private equity sponsors are strengthened by the principal investing process
- Oversee the monitoring and evaluation of potential exit alternatives
Build the Team:
- Represent CPPIB externally and be an active communicator of the organization’s strategies and objectives
- Review, analyze and comment on investment recommendations prepared by other members of Private Investments
- Help to lead the strategic decision making process for Private Investments; participate in and contribute to departmental meetings; lead the training and development of colleagues; play a lead role in recruiting activities
If you possess the following, we’d like to hear from you:
- 10+ years of private equity, investment banking or other relevant experience (private equity experience essential)
- MBA (with finance focus), LLB or equivalent and CFA, CBV or CA designation as well as additional languages are assets
- Proven experience in leading successful deals (e.g. sourcing, analysis, due diligence, execution and monitoring); proven track record of successful investment recommendation; excellent judgement and “sense of the deal”
- Experience leading successful negotiations with multiple stakeholders and executing a wide range of agreements (confidentiality, purchase and sale, shareholder, etc.)
- Solid, demonstrated experience building, overseeing, leading, coaching and developing deal teams
- Significant relationship management experience including primary responsibility for managing relationships with portfolio companies and other external stakeholders
Successful candidates should possess strong research, financial modeling, analytical and valuation skills as well as superior interpersonal skills, solid, demonstrated communication skills and exceptional presentation skills. Demonstrated persuasive skills and flexibility, adaptability, initiative and creativity as well as the ability to meet tight deadlines and work well under pressure while being a team player who enjoys a high performance culture are critical to success in this role.
