Staff Counsel Job in Reno, Nevada Us
Provides legal advice, counsel and service to internal business clients concerning legal rights, obligations, and privileges of corporations.
Draws up contracts involving leases, licenses, purchases, sales, real estate, employment, insurance, mergers, acquisitions and related matters.
Keeps current on legislative issues, statutes, decisions and ordinances of quasi-judicial bodies. Examines legal data to determine advisability of defending or prosecuting lawsuit.
Acts as agent of corporation in various transactions.
Advises company regarding concerns for risk assessment. Must have admission to practice law. May develop, review, or implement company-wide and/or functionally specific training programs. May also oversee corporate governance matters and its various committees. May work with outside counsel to direct activities.
Corporate Legal Affairs
Consult, coordinate and serve as liaison with outside expert counsel on:
Legal issues and business concerns to mitigate legal risks and develop solutions
Preparation, review and negotiation on commercial contracts, professional services agreements, non-disclosure agreements, teaming agreements, marketing representative agreements, technology and other agreements
Company Litigation matters including developing facts, identifying, researching and analyzing legal issues; coordinating between outside counsel and applicable internal personnel, including risk manager and relevant business groups
Prepare standard form agreements for the Company
Support Company MA activities
Corporate governance documents
Company’s intellectual property portfolio; develop long term strategy of intellectual property right protection
Develop and improve legal processes and compliance therewith
Review, negotiate and approve all legal invoices
Supervisory Responsibilities
Administration of Legal Functions
Supervise and train personnel as necessary
Punctuality to work each day and prepared to work scheduled work hours
Other duties as assigned
ESSENTIAL FUNCTIONS:
Minimum physical requirements to perform all duties and responsibilities, as defined by management
EDUCATION/EXPERIENCE/SKILLS REQUIRED:
Minimum 10 -15 years of relevant experience in a respected law firm, experience working with senior management, and prior in-house experience
Juris Doctor and Bachelors Degree required
Member of the Nevada state bar
Substantial corporate and commercial, technology transactional experience, superior contract drafting and negotiating skills
Experience and competence in corporate legal issues, MA activity, government contracts, litigation and intellectual property right protection
Ability to identify and mitigate legal issues and develop workable business solutions
Excellent interpersonal skills and communication, business judgment and strategic thinking, superior work ethic, dynamic and highly team oriented, well organized, and able to work with cross-functional teams and manage numerous projects simultaneously with keen sense of urgency under deadline pressureNote:
