Structured Products Lawyer

• Senior derivatives and structured products lawyer focusing on equity linked, equity index linked, fund linked (both exchange-traded and non-exchange-traded), commodity index linked and multi-asset index linked products in both OTC derivative and securitised format (including, but not limited to, CPPT, leveraged and delta 1) products, structured funds (equities, equity indices, hedge fund, mutual fund and commodities underlying), hedge fund financing (VFNs), Exchange Traded Commodities and UBS proprietary indices developed by the Global Equity Derivatives business.
• Particular focus on working on structured products that minimise or eliminate balance sheet usage. This includes structured and complex SPV transactions, some dual/multiple-layered (i.e. involving two or more SPVs) or involving UBS structured investment funds, fund indices and managed asset portfolios as well as fiduciary agent offerings and pass-through transactions (where the hedging assets are derecognised for accounting purposes). Working on the update and maintenance of SPV Programmes (principally for Irish and Luxembourg SPVs) is also an integral feature of the role.
• Liaising with and working collaboratively with colleagues in UBS Global Asset Management and UBS Wealth Management in both UK and international offices to assist the front office in developing products and platforms with emphasis on a firm-wide offering solution to investors.
• A technically challenging role requiring strong drafting and analytical skills and a strong understanding of legal aspects of structured transactions (including derivatives).

Responsibilities include:
• Working closely with and providing legal support to the front-office structuring, sales and trading teams.
• Reviewing term sheets and other pre-trade documentation for relevant transactions.
• Advising on, drafting and reviewing applicable legal documentation for transactions, including (but not limited to) final terms, prospectuses and other offering documents and all relevant hedging documentation (including OTC derivative).
• Liaising with other internal functions (including tax, compliance, credit, market risk, treasury, accounting policy and operations), external counsel and other third service providers (e.g. listing agents, corporate administrators, custodian, clearing systems).
• Identification and analysis of legal and regulatory issues as they relate to structured transactions / derivatives with active knowledge sharing with the front office as well as within the Legal Compliance team.
• Providing legal support to the OTC derivative equity and commodities Structured Confirmations team.
• Active participation and acting as senior legal representative in internal committees (e.g. Distribution Committee, Deal Review Committee, Transaction Committee, Suitability, Appropriateness and Risk Committee) and industry body working groups (e.g. those chaired by ISDA).
• Playing an active role in the training and coaching of more junior or less experienced members of the team.

Skills required:
• Qualified in England or similar jurisdiction (PQE 6-8 pqe or more).
• Good experience with, and understanding of, ISDA and other trade documentation (including knowledge of ISDA Master Agreement, ISDA Credit Support Annex, ISDA Credit Support Deed, 2002 Equity Derivatives Definitions, 2000/2006 ISDA Definitions, 2005 Commodity Definitions, GMRA, GMSLA).
• Strong interest in current regulatory (and tax) issues and their effect on structured transactions / derivatives in particular
