Structuring / Transaction Associate

Responsibilities:

* Reviewing, marking-up and tracking the progress of confidentiality and non-disclosure agreements

* Evaluating and providing a timely response to numerous different KYC requests related to both private investments and public investments

* Working with the appropriate companies to form foreign and domestic entities as needed for new investments. Drafting and filing the applicable IRS tax forms and elections

* Staying abreast of, and maintaining an understanding of new and existing US tax rules related to such forms and elections

* Working with joint venture partners to get invoices paid

* Using PowerPoint to create diagrams to illustrate legal investment structures based on information from legal documents and from managers

* Reviewing, commenting on, and subsequently describing procedures resulting from new investment relationships

* Tracking the costs incurred by our holding companies

* Drafting and processing capital calls as necessary

* Where required and appropriate, drafting resolutions and certifications for various KYC / anti-money laundering disclosures

 

Qualifications:

* Undergraduate or graduate degree required

* At least 5 years of work experience preferred; corporate paralegal training may be helpful

* Professional experience in a fast-paced environment

* Excellent attention to detail coupled with ability to manage and prioritize multiple, competing tasks

* Critical thinking, independent problem solving skills and sound judgment a must

* Ability to work both independently and in a team environment with personnel throughout every level of the company

* Familiarity with MS Office applications, particularly Word, PowerPoint, and Excel

* Excellent verbal and written communication skills, interpersonal skills, and documentation skills

* Ability to thrive in a fast-paced, deadline oriented environment
