Position Description:
Morgan Stanley Co. LLC seeks a Vice President, Investment Banking, Global Financial Institutions Group in New York, NY to operate at an officer level and oversee project teams responsible for marketing, structuring and executing transactions for large cap financial institutions clients (primarily banks, business development companies, financial technology companies and other diversified finance companies). Transactions include domestic and cross-border mergers and acquisitions (MA), restructurings, debt, equity and hybrid capital raisings and other strategic and capital advisory assignments. Work with a team of bankers on structuring and executing live transactions, including buyside and sellside MA advisory assignments, restructurings, capital raisings (including debt, equity and hybrid securities), as well as other strategic and capital structure advisory assignments for companies in the financial services sector; manage all aspects of transactions, including: Supervising associates and analysts in the creation of financial operating models, valuation analysis (including discounted dividends, discounted cash flows, publicly trading comparables, acquisition comparables and LBO analysis, sum-of-the-parts analysis, accretion/dilution, liquidation and return on invested capital analysis) and other relevant financial analyses; conducting due diligence to understand the business and operating model of companies, and assess company-specific and industry risks; and conducting legal and accounting due diligence in conjunction with internal and external legal counsel and accounting firms; coordinating with internal capital markets bankers for product pricing; developing execution strategy and creating market updates and other presentations for clients; manage transaction process: coordinating with other advisors (counsel, trustees, third party valuation advisors, accountants, other buyside / sellside investment bankers, underwriters / bookrunners) regarding transaction process, timelines, data requests, bid process / documents; liaise with clients (CFO, business development teams) regarding valuation analysis, project deliverables, bidding process, structure, timing and strategy; coordinate with senior internal bankers regarding fees and resource allocation. Perform business development initiatives, including generating ideas for clients, including strategic and capital raising opportunities; create marketing materials/presentations, and deliver presentations to clients. Maintain and develop existing and new client relationships through phone calls and meetings. Keep current on industry trends and regulatory developments impacting the financial institutions sector, including the Dodd Frank Act, Basel III, 40 Act, JOBS Act, FDIC bank resolutions, such as CCAR, and financial institutions stress tests, by participating in internal meetings and conference calls and conducting independent research; assess impact of these developments as well as macroeconomic events on clients' financial strategies and conduct financial analysis to quantify and illustrate impact. Recruit, train, and mentor the Group's Associates and Analysts, participating in activities including: on-campus recruiting, interviewing candidates for both summer and fulltime analyst and associate programs, mentoring and providing career guidance to junior bankers and providing analytical and financial modeling training through both formal training programs and in the process of projects and transactions.

Skills Required:
Master's degree in Business Administration, Economics, Finance, Accounting or a related field and three (3) years of investment banking experience, or equivalent, servicing large cap corporate clients in the financial institutions sector, including business development companies, on behalf of a global financial services institution. Prior experience must include developing client relationships with senior level officers; creating and analyzing dynamic financial statements and models; performing project/transaction execution and management for MA, restructurings, debt, equity, and hybrid capital raisings; performing valuation analysis, including dividend discount, liquidation analysis and discounted cash flows, and; monitoring and analyzing regulatory developments to determine impact on transaction structuring and execution, including FDIC bank resolutions, Basel Accords, the Investment Company Act of 1940 Act, bank stress tests, and Dodd Frank Act. Employer will also accept a Bachelor's degree and six (6) years of experience in the areas listed above.
