Position Description:
Morgan Stanley Co. LLC seeks Vice President, Global Capital Markets, US Equity Syndicate in New York, NY to function as lead deal manager for global capital markets transactions listed in the US, including IPOs, Follow-ons and Convertible Bonds for Global issuers - including US, European and Asian clients, primarily in the technology, financial, and generalist sectors. Formulate and develop investment thesis for issuing clients, and generate demand on US listings. Negotiate with internal PWM representative and its clients on the pricing and sales of blocks of stocks. Negotiate and purchase block trades from client for resale externally at profit, including identifying, pricing, and distributing sell-downs/block sales working with major private equity firms and their respective coverage teams and conducting due diligence, modeling, and transaction structuring for US listed issuers. Identify and market global offerings to global buyers, manage the entire equity transaction lifecycle, and oversee the auction process. Target the most appropriate buyers of the company by assessing their comparable ownership, time horizon of their investment, and their fundamental analysis of the company based on long term value objectives. Interact significantly and directly with a wide range of buy-side constituents/potential investors, including dedicated capital markets and special situation traders, analysts and portfolio managers as well as sales and research teams. Negotiate with company while running deals. Present analysis, strategies, and recommendations concerning pricing point to board for approval and collaborate on execution of deal. Manage relationships with US-based institutions and mutual fund managers, including serving as point person for certain accounts on the syndicate desk. Advise corporate clients in connection with raising equity capital on US stock exchanges, primarily for US issuers but also European and Asian companies. Disseminate industry knowledge and insights amongst internal and external stakeholders including bankers, capital markets, and institutional equity division professionals domestically and internationally. Participate in business development initiatives including marketing the firm's financing/capital raising services to corporate clients, initiating new banking relationships. Manage, recruit, train and mentor the group's analysts and associates.

Skills Required:
Bachelor's degree or equivalent in Finance, Business Administration, Economics or a related field and 6 years of experience structuring and executing international financing transactions for US, European, and Asian issuers in multiple sectors, including foreign equity issuance, on behalf of a global financial services institution. Prior experience must include performing equity pricing models that take into account trading volumes, liquidity and volatility in order to ascertain discount levels for secondary market activity; refining valuation models that take into account buyside, sellside, and corporate valuation discussions in order to price, allocate and stabilize primary market activity; liaising with domestic and international counterparties and clients in connection with the sale and trading of equities; and marketing capital raising/financing services to corporations and new issues to investors.
