Purpose of the Role
The role will provide legal support for the State Street Global Markets division in Europe, with particular focus on State Street's agency and principal securities lending businesses.
Responsibilities
The candidate will be responsible for duties including the following:
- Assisting with product regulatory and tax due diligence for new markets or client types for the agency and principal securities lending program; negotiating lender, borrower and swap agreements, including GMSLA, GMRA and ISDA/CSAs, as well as bespoke agreements; preparation of country and security specific exclusive lending agreements and appendices; and considering new business models and structures;
- Conducting jurisdictional due diligence and advising on applicable laws and regulations generally and in the context of product development of new business models, expansion of existing business models and support of ongoing trading and lending relationships;
- Managing consultation process with external counsel;
- Working cooperatively with peer lawyers and managers in Europe and the United States to complete internal approval processes;
- Ensuring all internal legal policies and guidelines are understood and implemented;
- Role is based in London, England, but travel may be required to support business needs
- UK qualified lawyer with significant pqe in law firm and/or in-house counsel position with experience in European jurisdictions required;
- Strong analytical skills and sophisticated drafting and negotiation abilities;
- Financial services industry experience and specifically securities lending andborrowing, repurchase transactions and synthetic swap transactions experience, with strong knowledge of ISDA master agreements and equity and related definitions. Proprietary trading and prime brokerage experience preferred;
- English as a native language;
- Good interpersonal and client management skills with ability to sustain strong relationships with clients, peers and staff across all internal corporate and business departments;
- Project management experience and proven ability to co-ordinate with and proactively drive projects forward with multiple internal support groups, including compliance, risk, operations and tax.
- Understanding of European regulatory developments and ability to advise upon the impact of regulatory change on the business model, including akeen understanding of market practice impacting the industry and specific business lines in the relevant jurisdictions and ability to work with business units to achieve practical solutions within applicable regulatory and risk parameters;
