Description

Senior Counsel within the EMEA division of the global Legal Department that supports all BNY Mellon businesses, which includes the International Corporate Trust business division, to provide legal support to that business.

The Bank of New York Mellon is a leading provider of corporate trust and agency services to the international capital markets and is seeking a senior lawyer (minimum 4 years PQE) to join the EMEA division of the global Legal Department to work with the lawyers advising BNY Mellon's International Corporate Trust business (ICT) for the European, Middle Eastern and African region.

The candidate will report directly to the Senior Managing Counsel and will be responsible for supporting the ICT's business lines, including: Straight Debt, CDOs, Repackagings, ABS/MBS, other Structured Finance, Custody, Project Finance etc.

There will be daily interaction on pre- and post-closing issues with both (1) the Business Managers who have overall responsibility for these business lines together with the relationship managers and team leaders who report in to them, and (2) members of the Transaction Management Group (TMG) who have responsibility for the related product areas. The candidate will ensure that all such deal issues are closed in accordance with the Bank's policies and business standards.

Support for the EMEA ICT Legal team will include the following:

* Initial point of contact/support for designated product lines, including attendance at semi-weekly business acceptance committee and trustee committee meetings as applicable;

* Negotiation of documents, which may or may not be based on BNYM standard agreements, programme updates, drawdowns, etc., to ensure compliance with all policies and procedures promulgated the Legal Department;

* Consideration of proposed amendments to existing deal documents/structures;

* Instruction and management of external counsel, both in the UK and overseas (including assistance with analysis and collation of advice from such counsel);

* Assistance with the development of formal training sessions for business colleagues on relevant topics, e.g. documentary standards/policies/market industry issues/legal issues;

* Involvement in Bank projects; and

* Informal knowledge-sharing within the legal team.

In addition the candidate will build relationships with all Business Managers to ensure understanding with the Bank's contractual obligations, identify areas of improvement of documents policies and standards, advise on the documentation for new services or markets and other strategic initiatives and join industry panels and work initiatives through trade associations e.g. ICMSA and TACT .

The candidate will be expected to liaise with:

* Primarily, members of the ICT legal team, as well as the EMEA Legal Department generally;

* Business Managers, Transaction Management Group officers, Product Management and Relationship Managers within the ICT businesses; and

* Senior Compliance and Risk officers for the EMEA region.

Qualifications

Restructuring and work-out experience with debt transactions is highly desirable as is significant experience in representing trustees, collateral administrators and custodians in transactional and contentious matters. The successful candidate must also have strong inter-personal and communication skills.

Excellent experience in private practice, and will preferably have had in-house legal or business experience.

The candidate should have experience with debt and debt-related transactions, including mortgage- and asset-backed securitisations, repackagings, collateralised debt/loan obligations, structured investment vehicles and conduits, project finance transactions and other forms of structured finance transactions; and, be familiar with current legal, regulatory and market trends and initiatives.

Excellent drafting and negotiation skills are required, together with the ability to handle a broad and demanding workload in which priorities change quickly. Excellent written and verbal communication skills, a willingness to learn and to cultivate good working relationships with internal clients is also imperative
